Welcome to TownAround (the "Platform"), accessible at https://www.townaround.in/and related domains, apps, and services. These Terms and Conditions ("Terms") govern your access to and use of TownAround's city directory and related features. By accessing or using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Platform.

1. About TownAround and Our Role

TownAround is an online city directory and discovery platform that provides listings of third-party businesses, places, and services. We are not a seller, supplier, agent, representative, guarantor, or insurer of any listed business or the services/products they provide. The Platform is informational and promotional in nature. Any interactions, purchases, bookings, or services you obtain from listed businesses are solely between you and the business.

2. No Warranties or Guarantees for Third-Party Services

TownAround does not warrant, guarantee, or make any promises regarding any third-party business, product, or service listed on the Platform, including their quality, safety, legality, pricing, availability, suitability, timeliness, fitness for a particular purpose, merchantability, workmanship, or performance. We do not control, manage, supervise, or direct the businesses or their personnel. Listings, ratings, reviews, badges, "verified" labels, or any placement or ranking on the Platform do not constitute endorsement, certification, recommendation, or warranty by TownAround. You alone are responsible for evaluating and choosing any business and for all risks arising from dealing with them.

The Platform, all content, and all features are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non infringement, to the maximum extent permitted by law.

3. No Agency, No Contracting on Your Behalf

TownAround is not a party to, nor does it create, any contract between users and listed businesses. TownAround does not collect payments on behalf of businesses unless explicitly stated for a specific feature, and even then TownAround is not responsible for the underlying service or delivery. No agency, partnership, joint venture, employment, or franchisor franchisee relationship is created by your use of the Platform.

4. Eligibility and Use

You must be at least the age of majority in your jurisdiction to use most features. You agree to use the Platform only for lawful purposes and in accordance with these Terms and applicable laws and regulations.

5. Accounts, Claims, and Business Profiles

If you create an account or claim a business profile, you must provide accurate, current, and complete information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. TownAround may allow businesses to claim or manage their listings, subject to verification at TownAround's discretion. We may edit, refuse, or remove any listing or profile information for accuracy, policy compliance, or legal reasons.

6. Content You Provide

You may submit content such as reviews, photos, descriptions, menus, or updates. You represent that you own or have rights to submit such content and that it is accurate, lawful, and does not infringe any rights. You grant TownAround a worldwide, non exclusive, royalty free, transferable, sublicensable license to use, reproduce, display, distribute, adapt, and promote your content in connection with the Platform and TownAround 's business. We may moderate, edit, or remove content at our discretion, but we are not obligated to do so.

7. Reviews and Ratings

Reviews and ratings reflect the opinions of users and not TownAround. We may use automated and manual systems to surface, sort, filter, or recommend content, and to detect spam or abuse. Attempts to manipulate ratings or reviews are prohibited, including fake reviews, compensated reviews not clearly disclosed, or coercion.

8. Listings, Rankings, and Advertising

Placement, ranking, and visibility of listings may be influenced by relevance, user activity, data quality, recency, completeness, proximity, popularity, trust signals, and where applicable, paid promotions or advertising. Sponsored or paid placements may be labeled, but not all ranking signals are disclosed. Advertising content is the responsibility of the advertiser.

9. Third-Party Links and Integrations

The Platform may contain links to third-party websites, apps, or services. TownAround does not control or endorse such third parties and is not responsible for their content, policies, or practices. Your interactions with third parties are solely between you and them.

10. Pricing, Availability, and Business Information

Business hours, contact details, menus, inventory, pricing, offers, certifications, and similar information are provided by businesses or obtained from public or third-party sources and may change without notice. TownAround does not guarantee accuracy or availability. Always confirm directly with the business before you rely on any information.

11. Prohibited Conduct

You agree not to misuse the Platform. Prohibited conduct includes attempting to circumvent security; scraping or harvesting data except as allowed by robots.txt or an express license; reverse engineering; using the Platform for unlawful, fraudulent, or harmful activities; infringing intellectual property or privacy rights; posting misleading, defamatory, obscene, or illegal content; and interfering with others' use of the Platform.

12. Intellectual Property

All TownAround trademarks, logos, branding, software, databases, and Platform content (other than user content) are owned by or licensed to TownAround and are protected by applicable laws. You may not copy, modify, distribute, sell, or create derivative works except as expressly permitted by these Terms or by TownAround in writing.

13. Privacy

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and disclose information. Please review it carefully before using the Platform.

14. Disclaimers

To the fullest extent permitted by law, TownAround disclaims all liability for: errors, omissions, or inaccuracies in listings or content; any personal injury, property damage, loss, or harm resulting from your interactions with any listed business; any unauthorized access to or use of our servers or your information; any interruption or cessation of the Platform; and any bugs, viruses, or malicious code transmitted by third parties. Some jurisdictions do not allow certain disclaimers, so some limitations may not apply to you.

15. Limitation of Liability

To the maximum extent permitted by law, in no event will TownAround, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, data, or other intangible losses, arising out of or related to your use of or inability to use the Platform or any third-party business or service, even if advised of the possibility of such damages. To the extent any liability is found, TownAround's total aggregate liability for all claims arising out of or relating to the Platform shall not exceed the greater of INR 5,000 or the amount (if any) you paid to TownAround for the specific feature giving rise to the claim in the three months preceding the claim.

16. Indemnification

You agree to defend, indemnify, and hold harmless TownAround and its affiliates, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your content, your interactions with any business, or your violation of these Terms or applicable law.

17. Suspension and Termination

We may suspend or terminate your access to the Platform (in whole or in part) at any time, with or without notice, for any reason, including suspected violations of these Terms, legal risk, or technical or security concerns. Upon termination, your right to use the Platform will cease immediately, but provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, and indemnity) will survive.

18. Compliance, Intermediary Status, and Grievance Redressal (India)

TownAround operates as an intermediary/platform under applicable Indian laws, including the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and claims safe-harbour protections accordingly. If you have complaints regarding content hosted on the Platform, please contact our Grievance Officer.

We will acknowledge and address complaints within timelines prescribed by law.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict of law principles. Subject to any mandatory arbitration or consumer dispute provisions under applicable law, you agree to the exclusive jurisdiction of the courts located in Karnataka, India. If arbitration is required or agreed, disputes shall be referred to a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996, with the seat and venue in Karnataka, India, and proceedings in English.

20. Changes to the Platform and to These Terms

We may modify, suspend, or discontinue any feature of the Platform at any time. We may update these Terms from time to time. Material changes will be posted on the Platform with an updated effective date. Your continued use after changes become effective constitutes acceptance of the revised Terms.
